These general terms and conditions (T&C) govern contractual relations between Concept System Sàrl, hereinafter the "Seller", and any professional buyer or client acting within their business activity, hereinafter the "Buyer", for the supply of stainless products and cable systems (catalog or custom products).
These T&C apply to all offers, orders and deliveries by the Seller unless otherwise agreed in writing. They prevail over any Buyer purchase terms not expressly accepted in writing by the Seller.
The website and technical documents (datasheets, catalogs) are for information only unless expressly designated as contractually binding.
Offers and quotes are valid for the period stated on the document; if not stated, for 30 days from issue, unless revoked earlier by the Seller.
Quotes are based on information provided by the Buyer. Any later change to specifications, quantities or deadlines may lead to revised prices and delivery times.
Prices are in Swiss francs (CHF), excluding taxes (VAT) unless otherwise stated. Applicable VAT is that in force on the invoice date.
Shipping, packaging, transport insurance and any import taxes are borne by the Buyer unless otherwise agreed.
An order becomes binding when confirmed in writing (including email) by the Seller or when executed by the Seller, whichever occurs first.
Custom or specific orders cannot be cancelled or reduced without the Seller's express agreement once confirmation has been sent.
Delivery times are indicative. Reasonable delay does not entitle cancellation, penalties or damages unless mandatory law provides otherwise.
Transfer of risk and benefit follows agreed incoterms or terms in writing; otherwise at departure from the Seller's workshop (ex-works).
The Buyer must inspect goods on receipt and notify the Seller in writing of any apparent defect or quantity anomaly within 8 days of delivery, failing which such claims are barred.
The Seller warrants product conformity to agreed written specifications. Warranty is excluded for defects due to improper use, inadequate assembly or maintenance, or normal wear.
The Seller's liability for hidden defects is limited, per product, to replacement or repair of elements acknowledged defective by the Seller where technically and economically reasonable. Any other liability is excluded to the extent permitted by law.
Invoices are payable as stated on the invoice. In case of late payment, the Seller may suspend ongoing deliveries, require cash payment for future orders and charge default interest under applicable law.
Goods remain the Seller's property until full payment of price and ancillary charges. The Buyer agrees to cooperate in formalities necessary to protect this right.
The Seller is released from delivery obligations in circumstances beyond its control (including strikes, pandemics, supply shortages, natural disasters, government measures) making performance temporarily or permanently impossible or unreasonably costly.
These T&C are governed by Swiss substantive law, excluding conflict-of-law rules.
Any dispute falls under the competent courts of the Canton of Fribourg, Seller's registered office, subject to mandatory legal remedies.
The Seller may amend the T&C; the version published on the site at order date or attached to the confirmed offer applies. For ongoing relations, the T&C in force at order date remain applicable.
